These Terms of Service ("Terms") govern your use of the website and services provided by Exolix, a service operated by Petal Haven LLC ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Exolix provides professional web design, web development, and related digital services for businesses. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or service agreement provided to the client before work begins.

2. Acceptance of Terms

By using our website or purchasing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

3. Project Process

• Proposals: All projects begin with a written proposal outlining the scope of work, estimated timeline, and total cost.
• Approval: Work does not begin until the client approves the proposal and any required deposit is received.
• Revisions: The number of included revision rounds is specified in your plan or proposal. Additional revisions beyond the included amount may incur extra charges.
• Content: Clients are responsible for providing necessary content (text, images, logos) in a timely manner. Delays in content delivery may affect the project timeline.

4. Pricing and Payment

• Prices listed on our website are starting prices and may vary based on project complexity and requirements.
• A deposit of 50% of the total project cost is required before work begins, unless otherwise agreed upon in writing.
• The remaining balance is due upon project completion and before the final website files are delivered or the site goes live.
• We accept payment via bank transfer, credit card, or other methods specified in your invoice.
• All prices are in US Dollars (USD) unless otherwise stated.

5. Refund Policy

We offer a 14-day satisfaction guarantee on initial design concepts. If you are not satisfied with the initial design direction presented during the design phase, you may request a full refund of your deposit within 14 days of receiving the first design mockup. Refund requests must be submitted in writing to hello@exolix.live.

Once the design is approved and development has begun, refunds are handled on a case-by-case basis based on the amount of work completed. No refunds are available after the final website has been delivered and approved.

6. Intellectual Property

• Client Content: You retain all ownership rights to content you provide (text, images, logos, trademarks).
• Deliverables: Upon full payment, ownership of the custom website design and code created specifically for your project is transferred to you.
• Portfolio Rights: We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed upon in writing.
• Third-Party Assets: Any third-party resources (fonts, stock images, plugins) included in your project are subject to their respective licenses.

7. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information when requested
• Respond to communications and review deliverables in a timely manner
• Ensure that all content you provide does not infringe on any third-party rights
• Make payments according to the agreed schedule

8. Limitation of Liability

To the maximum extent permitted by law, Petal Haven LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or website. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Warranty Disclaimer

Our services are provided "as is" and "as available." While we strive to deliver high-quality work, we do not guarantee that our services will be error-free, uninterrupted, or meet all of your specific requirements beyond the agreed-upon scope. We make no warranties, express or implied, regarding the results or performance of any website we build.

10. Website Maintenance

Post-launch support is included for the period specified in your plan. After the included support period ends, ongoing maintenance is available through our monthly maintenance plans. We are not responsible for issues that arise from unauthorized modifications to the website made by the client or third parties.

11. Termination

Either party may terminate a project by providing written notice. In the event of termination:

• The client is responsible for payment for all work completed up to the date of termination.
• Any deposits paid for uncompleted work will be refunded on a prorated basis at our discretion.
• All completed deliverables paid for will be provided to the client.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to binding arbitration in accordance with applicable rules.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
